1. Purpose and Scope
This Acceptable Use Policy ("AUP") applies to all Merchants, Affiliates, and other users of the Rezfiliate platform ("Service"). It exists to keep the Service safe, lawful, and trustworthy for everyone who relies on it.
By using the Service, you agree to comply with this AUP. Violation of this AUP constitutes a material breach of the Terms of Service, and may result in suspension or termination of your account as set out in Section 5.
This AUP should be read together with our Terms of Service, Privacy Policy, Affiliate Agreement, and Cookie Policy, all of which are incorporated by reference.
2. Prohibited Activities (All Users)
No user of the Service may engage in any of the following prohibited activities:
- Illegal Activities: Operate a pyramid scheme, Ponzi scheme, or unlawful multi-level marketing structure. Promote products or services that are illegal in the jurisdictions where they are marketed.
- Prohibited Industries: Facilitate the sale or promotion of:
- Adult content or services
- Gambling or betting
- Cryptocurrency, ICOs, or unregulated financial products
- Illegal goods or services
- Weapons, ammunition, or explosives
- Counterfeit goods
- Controlled substances without proper licensing
- Any other industry prohibited by applicable law
- Fraud and Deception: Engage in click fraud, cookie-stuffing, incentivized traffic schemes, artificial inflation of conversions, or any other deceptive practice designed to generate fraudulent commissions.
- Spam and Unsolicited Communications: Send unsolicited bulk communications (spam) to promote an affiliate link or the Service.
- Circumvention: Attempt to circumvent, disable, or interfere with tracking, security, or attribution mechanisms of the Service.
- Unauthorized Data Collection: Use the Service to collect personal data from Affiliates, Merchants, or customers beyond what is disclosed in the applicable Privacy Policy and without proper consent.
- Reverse Engineering: Reverse engineer, scrape, decompile, or resell access to the Platform without authorization.
- Abusive Conduct: Harass, threaten, or abuse Rezfiliate support staff, Merchants, or other Affiliates.
- System Abuse: Introduce viruses, malware, or other harmful code; attempt to gain unauthorized access to the Service or its infrastructure; or perform any action that disrupts or degrades the Service for other users.
3. Merchant Responsibilities
Merchants using the Rezfiliate Platform must ensure their affiliate program, product claims, and commission structures comply with applicable advertising, consumer protection, and financial regulations in the jurisdictions where they operate.
Cookie Consent: Merchants are strictly responsible for:
- Assessing whether the Rezfiliate tracking scripts require consent or another lawful basis in each jurisdiction and configuring their consent-management system or integration accordingly. Webhooks are server-to-server events and are not browser cookies.
- Disclosing the use of Rezfiliate tracking cookies (including the click_id and referral_code cookies) in their own cookie and privacy policies.
- Obtaining and recording valid consent from website visitors before placing or reading non-exempt tracking technologies, where required by applicable law.
- Ensuring they have a valid legal basis for sharing conversion data with Rezfiliate.
Indemnification: As set out in the Terms of Service, Merchants agree to defend, indemnify, and hold harmless Rezfiliate from any claims arising from their violation of this AUP, including but not limited to claims related to improper cookie consent or non-compliance with consumer protection laws.
4. Affiliate Responsibilities
Affiliates using the Rezfiliate Platform must comply with the following obligations:
- Disclosure: Clearly and conspicuously disclose their affiliate relationship with the Merchant in accordance with applicable laws, including the FTC's Endorsement Guides and similar regulations in other jurisdictions. Disclosures must be placed where they are easily noticeable and accessible to consumers.
- No Misrepresentation: Not make false, misleading, or unsubstantiated claims about the Merchant's products or services.
- No Trademark Bidding: Not bid on the Merchant's trademarked terms in paid search advertising without the Merchant's written authorization.
- No Self-Referrals: Not refer their own purchases to generate self-commissions, unless explicitly permitted by the Merchant in writing.
- Compliance with Law: Comply with all applicable laws and regulations in their promotional activities, including but not limited to advertising, spam, and data protection laws.
- No Prohibited Practices: Not engage in any of the prohibited activities listed in Section 2, including fraud, spam, or cookie-stuffing.
Affiliates are also subject to the platform rules set out in the Affiliate Agreement and must comply with any Merchant program terms or settings presented to them. In the event of a conflict, the document hierarchy in the Affiliate Agreement applies, subject to the Terms of Service and applicable law.
5. Enforcement and Consequences
Violation of this AUP may result in a warning, suspension, immediate termination, referral to law enforcement, or other proportionate measures at Rezfiliate's reasonable discretion. Any commission may be withheld, reversed, or invalidated only to the extent reasonably related to a refund, chargeback, fraud, unlawful conduct, policy violation, or other failure of applicable program terms or settings. Valid, accrued, non-disputed commissions are not automatically forfeited solely because an account is suspended or terminated, subject to lawful set-off, payment-provider recovery, and the Terms of Service.
Grace Period for Failed Payments (Merchants): Merchants who fail to fund affiliate payouts will generally receive the payment-recovery period described in the Terms of Service, initially fourteen (14) days and potentially longer with warnings and payment reminders. If unresolved, the affiliate program may be suspended and later terminated under the Terms of Service. Merchant termination does not relieve the Merchant of the obligation to pay validly accrued Affiliate commissions.
Fraudulent Activity (Affiliates): Affiliates reasonably suspected of fraud may be suspended while the matter is investigated. Confirmed fraudulent or otherwise invalid commissions may be withheld, reversed, or invalidated to the extent permitted by law and the applicable Program Terms; valid commissions are not automatically forfeited merely because the account is terminated.
6. Reporting Violations
If you suspect that a user of the Service is violating this Acceptable Use Policy, please report it to Rezfiliate via our contact form.
Please provide as much detail as possible, including:
- The name or email of the user suspected of the violation.
- A description of the suspected violation.
- Any evidence (links, screenshots, etc.) that supports your report.
Rezfiliate will investigate all reported violations and take appropriate action. We may contact you for additional information during our investigation.
7. Changes to This Acceptable Use Policy
We reserve the right to update this AUP. Updates will be handled under Section 14 of the Terms of Service and any notice, consent, or other requirements imposed by applicable law. Where an update materially changes a user's rights or obligations, we will provide the notice required by the Terms of Service and applicable law.
The "Last Updated" date at the top of this policy indicates when it was last revised.
